Job Description

Primary Purpose

Supervise lawyers or others in the law department and outside counsel in the handling of project development, marketing, and commercial matters related to major capital projects and other matters as may be assigned by the Chief Legal Officer.

Strong experience in large-scale energy project development (including understanding of project finance structures) and the ability to support teams through the life of a project and provide support and critical strategic input, as needed. The ideal candidate will have significant experience with the development of liquefied natural gas (LNG) projects, natural gas infrastructure (including pipelines), and related infrastructure. In addition, strong commercial skills on construction, commodity purchase and sale, marine services, transportation and capacity, and related project agreements is required. Candidates should also have a basic understanding of the US natural gas regulatory landscape.

Experience with joint venture structuring and implementation, M&A, corporate governance, finance (debt and equity)/project finance, real estate, and/or procurement is a plus, but not required.

The ability to work independently, as well as collaboratively, is required. Candidates should exhibit strong substantive legal skills (drafting and analysis) and commercial acumen and possess a desire to partner with business teams to deliver reliable, strategic, high-quality legal advice in a fast-paced environment.



Duties and Responsibilities

  • Manages outside counsel providing legal services to the assigned area.
  • Provides strategic advice to other attorneys, as well as to others in the Business Units.
  • Works with Chief Legal Officer in administration and oversight of specified areas in the law department.
  • Resolves workplace related concerns of supervised personnel and manages staff to ensure compliance with company policies.
  • Interacts with Business Unit Executives and upper management of other client groups.
  • Formulates and monitors the objectives, plans, schedules, budgets, policies and procedures pertaining to specific legal activities.
  • Strong M & A experience and ability to support teams through development, support and critical strategic input as needed
  • Ability to work with legal leadership team to set strategic direction, development legal team and manage and support the legal needs of SI.
  • Provide individual contribution as needed in high value matters, while also developing larger team.
  • Create training and development objective with keen understanding of SI business and business drivers, to optimize delivery of legal support and services.
  • Provide governance support and develop and contribute to joint venture excellence.
  • Identify and improve the risk management of SI via the legal function, while supporting other parts of SI to support SI's overall success.
  • Collaborate with other members of the legal team performing various functions - marketing, regulatory, finance, compliance, and Sempra corporate.
  • Work cross functionally in furtherance of SI success, risk management and commercial opportunities
  • Identify and lead opportunities of continuous improvement
  • Participates and supports the leadership of the SI legal function.
  • Hires, manages and promotes direct report employees; trains subordinates, assign, direct and review their work.
  • Performs other duties as assigned (no more than 5% of duties).

Qualifications

Education

  • JD (Juris Doctor) J.D. or L.L.B. from an accredited law school. Required

Experience

  • 12+ Related experience. Required
  • Experience in the utility industry. Preferred

Knowledge, Skills and Abilities

  • Work effectively and lead a team with cross border membership.
  • Strong breadth of legal experience and knowledge in areas that regularly impact SI and for which additional legal support may be required from others
  • Strong organizational skills

Licenses and Certifications

  • Admission to the California or Texas Bar, and a member in good standing. Required

Other qualifications

  • Bilingual in Spanish is a plus
