Job Summary:
The Corporate Compliance Director is critical in providing strategic guidance and ensuring oversight across various areas of corporate governance, compliance with legal and ethical obligations, risk management, and business operation compliance across group companies under Rigaku Americas Holding, Inc ("RAH"). Reporting directly to the CEO of RAH, the Corporate Compliance Director serves as the organization's principal compliance advisor and dotted line reporting to the General Counsel of Rigaku Holdings Corporation (RAH's Parent Company in Japan), responsible for managing legal affairs and ensuring compliance with
laws, regulations, and industry standards.

Responsibilities:
Corporate Compliance:
* Align, implement, and oversee comprehensive risk management structure and corporate compliance programs by working closely with Executive Team and General Counsel to ensure adherence to legal and regulatory requirements, including but not limited to anti-corruption laws, data privacy regulations, information security, OSHA Safety, and industry-specific regulations.
* Conduct regular compliance assessments, audits, and training programs to promote a culture of compliance throughout the organization and address enhancement needed areas to CEO and General Counsel for effective compliance risk management.
* Keep track of shifts in legislation and regulations, evaluate their effects on the organization, and suggest necessary adjustments accordingly.


Business Management:
* Provide guidance and support to the RAH's CEO and Executive team on a wide range of business management functions, including external communications, mergers, and acquisitions (M&A), and corporate restructuring initiatives.
* Support streamlining legal and compliance work with the RAH companies and
support global initiatives.
* Advise on legal risks and opportunities associated with business transactions, contractual agreements, and operational decisions.
* Develop, maintain, and implement relationships with RAH's legal counsel network to support RAH in all areas necessary.
* Manage and oversee all litigation and dispute matters.
* Partner with internal Leaders for the negotiation, drafting, and review of all legal agreements, contracts, and documents on behalf of RAH.


Environmental, Social, and Governance (ESG) Compliance:
* Ensure alignment with ESG reporting frameworks and standards to enhance transparency and accountability.


Information Security:
* Support IT on information security and data protection efforts to safeguard sensitive company information and mitigate cybersecurity risks.
* Partner with CIO and internal Leaders to develop and enforce policies and procedures related to information security, data privacy, and incident response.


Financial Internal Controls:
* Support the Corporate Finance Team in ensuring financial internal control systems are effective, company assets are safeguarded, financial reporting is accurate, and Rigaku remains compliant with relevant laws and regulations, including the Sarbanes-Oxley Act (SOX).

Qualifications

Qualifications:
* A minimum of a Bachelor's degree in Business Administration or Engineering is
required.
* An accreditation in Law or MBA is a plus.
* Minimum 10 years of relevant experience in legal/compliance department.
* International and manufacturing industry experience preferred.
* Thorough knowledge of corporate, regulatory, and compliance laws and practices.
* Demonstrable experience in corporate compliance and risk management.
* Strong critical thinking, communication, negotiation, and problem-solving skills.
* Proactive, collaborative, and flexible mindset to work in a diverse culture.
* High ethical standards, integrity, passion, and a commitment to maintaining the company's legal and ethical integrity.
