JOB SUMMARY / GENERAL DESCRIPTION:

Responsible for creating and maintaining an effective corporate compliance program that includes, at minimum, the "seven essential elements" of compliance and ethics set forth in the Federal Sentencing Guidelines. Manage and direct policies and programs designed to ensure that McLane conducts business ethically and in compliance with all applicable laws and regulations, to include but not limited to laws and regulations surrounding the Company's distribution of various regulated products such as cigarettes, tobacco products and vapor products.

ESSENTIAL JOB FUNCTIONS / PRINCIPAL ACCOUNTABILITIES:

  • Develop policies and procedures to help ensure McLane teammates perform their jobs lawfully and ethically; specific responsibility for maintaining, updating, and communicating McLane's Code of Business Conduct and Ethics.
  • Prepare and deliver educational and training materials, both general and subject-specific, to assist teammates in understanding any legal requirements that pertain to their jobs; ensure training is consistent with the intended audience's level(s) of education and role(s) within the Company.
  • Coordinate with Internal Audit to monitor various business functions; ensure monitoring activities are effective in identifying and preventing activities that are fraudulent, illegal, or otherwise inappropriate or inconsistent with McLane's policies; identify risks and propose alternative structures to mitigate risks.
  • Manage investigations of reported misconduct, as necessary; ensure reporting mechanisms are in place to facilitate the prompt reporting of issues to McLane leaders.
  • Conduct annual risk assessment to identify the risks that are of most concern to McLane from a financial, legal, and reputational perspective.
  • Lead quarterly meetings of the Company's Risk Committee; create meeting agendas and arrange for attendance by subject matter experts on topics to be discussed; facilitate discussion of agenda topic.
  • Direct team responsible for obtaining/renewing all applicable product licenses required for McLane to conduct business nationwide. This includes licenses related to McLane's distribution of cigarettes, tobacco and vape products in all jurisdictions.
  • Review/analyze all federal, state, and local laws and regulations that potentially impact McLane's distribution of specific products and oversee implementation of product restrictions, as necessary.
  • Serve as primary point of contact for legal issues/questions that arise with respect to McLane's payment of cigarette/tobacco excise tax and stamping of cigarettes.
  • Conduct immediate review/analysis of all FDA actions on Premarket Tobacco Applications and Substantial Equivalence Reports; ensure implementation of product restrictions, as necessary.
  • Ensure annual acknowledgement of receipt and understanding of key compliance policies by supervisors, managers, and leaders through the Company.
  • Provide counsel and work as a team with other counsel leaders as necessary within other business units.
  • Perform other duties as assigned.

MINIMUM QUALIFICATIONS AND REQUIREMENTS:

  • Juris Doctor
  • Five or more years' related experience.
  • Experience with Code of Conduct, polices/procedures, training, investigations, and compliance risk assessments.
  • Broad knowledge of compliance and industry processes, practices, and regulations.
  • Knowledgeable of anti-bribery/anticorruption, compliance risk management, compliance risk mitigation and compliance evaluation regarding third-party risks.
  • Outstanding written and oral communication skills.
  • Experience developing and managing training and communication projects, preferably including compliance.
  • Experience implementing policies and procedures.
  • Ability to deliver challenging messages and influence decisions with authority.
  • Ability to strike a sensible and practical balance between legal risks and business goals.
  • Ensure a high level of integrity, ethics, and professionalism to uphold the compliance culture and values of the business.

PREFERRED QUALIFICATIONS:

  • Two or more years' experience successfully managing a team of 4 or more exempt and nonexempt employees.Professional compliance certification(s).
